SIE Industrial Ltd owns and operates this internet website ("the Site") and provides businesses who are customers of SIE Industrial Ltd ("Customers") with access to its services. The terms and conditions in this User Agreement and in the privacy policy elsewhere on the Site ("the Privacy Policy") (collectively, the "Terms") are the terms and conditions on which SIE Industrial Ltd is willing to provide Customers with access to the Site and the Services. Your use of the Site and the Services at any time constitutes your acceptance of and agreement to the Terms. SIE Industrial Ltd may modify the Terms at any time by posting revisions on the Site. Those modified Terms shall become the "Terms", and your continued use of the Site will constitute your agreement to and acceptance of those Terms.

1. PRIVACY POLICY

SIE Industrial Ltd will only deal with any personal data you provide to us in accordance with the Privacy Policy and the Data Protection Act 1998. By submitting personal data to us you are deemed to have read and accepted the terms of the Privacy Policy.

2. INTELLECTUAL PROPERTY RIGHTS

2.1 The Site is the sole property of SIE Industrial Ltd and all content, trademarks, information, designs, text, images, graphics, sounds, copyright and other intellectual property rights in and on the Site are the exclusive property of SIE Industrial Ltd or its licensors.

2.2 You may not make any copies of the Site without the prior written permission of SIE Industrial Ltd, other than copies made or cached by your computer during the normal course of using the Site and the Services.

2.3 Any links on the Site which lead to external websites are provided for your convenience only and SIE Industrial Ltd accepts no liability for any information on those sites and/or the suitability or accuracy of any information on those sites. The presence of a link on the Site does not indicate any endorsement or approval of that site by SIE Industrial Ltd.

3. USER OBLIGATIONS

3.1 You must not "frame" or "mirror" any content or information on, or accessible from, the Site without the prior written permission of SIE Industrial Ltd.

3.2 You must not at any time do anything which interferes with the proper working of the Site.

4. DISCLAIMER OF WARRANTIES AND WAIVERS AND LIMITATIONS

4.1 As the use of the Site and the Services is provided free of charge you agree that:

4.1.1 any use of the Services or the Site is at your sole risk and that the Services are provided on an "as is" and "as available" basis. SIE Industrial Ltd expressly disclaims all warranties, express or implied, including but not limited to the implied warranties of satisfactory quality and fitness for purpose so far as is permitted in law. No advice or information, verbal or written, obtained by you from SIE Industrial Ltd or through the Services shall create any warranty or obligation on the part of SIE Industrial Ltd and you should place no reliance on it.

4.1.2 all material and data obtained or downloaded from the Services or the Site, and all goods and services obtained through the Services or the Site, are obtained or downloaded at your own risk and that you will be solely responsible for any damage which may result. Whilst we use reasonable endeavours to ensure that all content on the Site is free of viruses and similar malicious programs, we accept no responsibility or liability for any damage done by any virus, worm, trojan or other malware downloaded from or via the Site.

4.1.3 neither SIE Industrial Ltd nor its directors, officers, employees or agents shall be liable for any direct, indirect, incidental, special, or consequential loss (including loss of profits, goodwill, trade or business opportunity) arising out of or relating to the Services, the Site or the Terms, even if SIE Industrial Ltd has been advised of the possibility of those damages to the fullest extent permitted in law. The waiver of liability shall include all losses arising from:

4.1.3.1 any use of or inability to use the Services;

4.1.3.2 the cost of obtaining substitute goods and services;

4.1.3.3 unauthorized access to or alteration of your account, transmissions or data;

4.1.3.4 lost profits, revenue or data;

4.1.3.5 interruption, suspension or termination of the Services, whether the interruption, suspension or termination was unjustified, negligent intentional or in accordance with the Terms;

4.1.3.6 statements or conduct of any third party, including any feedback placed on the Site.

4.2 Nothing in the Terms shall limit SIE Industrial Ltd's liability for any death or personal injury caused as a result of the negligence of SIE Industrial Ltd or its employees or agents.

5. NOTICES

Except as explicitly stated otherwise, any notices given by us to you will be addressed to your registered e-mail address. Such notice shall be deemed to have been given and received 24 hours after the e-mail is sent, notwithstanding the fact that the sending party may be notified that the e-mail address is invalid for any reason (including the possibility that the e-mail address in your registration details is incorrect or out of date). Alternatively, SIE Industrial Ltd may give you notice by registered post to the address provided to us during the registration process and you may give us notice by registered post to our registered office. In such case, notice shall be deemed to have been given and received 3 working days after the date of mailing.

6. CONTRACTS (RIGHTS OF THIRD PARTIES) ACT 1999

Except as expressly provided in the Terms, a person who is not a party to the Terms shall have no rights under the Contracts (Rights of Third Parties) Act 1999 to rely upon or enforce any term of the Terms provided that this does not affect any right or remedy of the third party which exists or is available apart from that Act. For the avoidance of doubt, no employee or agent of any organisation or Customer using the Site or the Services shall have any right to rely upon or enforce any of the Terms.

7. SEVERABILITY

If any term or provision in the Terms shall be held to be illegal or unenforceable in whole or in part under any enactment or rule of law such term or provision or part shall to that extent be deemed not to form part of the Terms but the validity and enforceability of the remainder of the Terms shall not be affected.

8. GOVERNING LAW

8.1 This User Agreement and the Terms shall be governed by and construed in accordance with the laws of England and Wales. Each of the parties hereby irrevocably submits to the exclusive jurisdiction of the courts of England and Wales.

8.2 Only those resident within England and Wales shall have the right to use the Site and the Services. If you are not resident within England and Wales you should refrain from using the Site and the Services and contact SIE Industrial Ltd for further information. SIE Industrial Ltd accepts no liability for any loss or damage you may suffer if you are using the Site and/or the Services and you are resident outside England and Wales.
